Article 1 β€” Purpose and scope

These Terms of Sale (the "Terms") govern the contractual relationship between:

The Terms apply to any subscription made via https://ecopilot-ai.com. The Customer accepts them without reservation by ticking the relevant box upon subscription.

Article 2 β€” Definitions

Article 3 β€” Subscribing

3.1 Account creation

Subscription is completed online. The Customer provides: name, email address, company name, business sector, password. The Customer warrants the accuracy of this information.

3.2 Order confirmation

The order becomes final after: (1) acceptance of the Terms; (2) payment validation via Stripe; (3) receipt of a confirmation email. The final button bears the wording "Order with obligation to pay" (Art. L.221-14 of the French Consumer Code).

Article 4 β€” Price and payment

4.1 Price

The Ecopilot subscription is offered at €19 per month.

VAT not applicable β€” Article 293 B of the French General Tax Code. The Publisher benefits from the VAT exemption scheme: no VAT is charged to the Customer.

The price is stated in euros and includes all charges. No additional fees apply.

4.2 Payment

Payment is made by bank card via the secure platform Stripe Payments Europe Ltd. Bank details never pass through the Publisher's servers (PCI-DSS standards).

4.3 Billing

Payment is taken each month on the subscription anniversary date. An electronic invoice is sent after each payment. In the event of failure, access may be suspended after 3 unsuccessful attempts.

Article 5 β€” Free trial period

The Publisher offers a 14-day free trial from account creation:

At the end of the trial, the paid subscription only starts if the Customer expressly activates it and enters their bank details.

Article 6 β€” Right of withdrawal

πŸ“Œ In accordance with Article L.221-18 of the French Consumer Code, the right of withdrawal applies to distance contracts under the conditions below.

6.1 Beneficiaries

The right of withdrawal (Art. L.221-3) applies to any consumer, as well as to any business with 5 employees or fewer whose contract falls outside its main field of activity. Period: 14 calendar days from subscription, with no reason or penalty.

6.2 How to exercise it

The Customer may: (1) cancel from their personal area ("My subscription"); (2) email contact@ecopilot-ai.com; (3) use the form below.

6.3 Effects

Full refund within 14 days of receiving the request, using the same payment method.

6.4 Exceptions

The right of withdrawal does not apply if the Customer requested performance before the end of the period and waived the right, nor to businesses with more than 5 employees (or whose main activity matches the purpose of the contract).

Article 7 β€” Term and termination

7.1 Term

The subscription is open-ended, with a monthly commitment that renews automatically.

7.2 Termination by the Customer

Cancellation at any time, free of charge and without reason: online from the personal area ("My subscription"), by email, or by post. Effective at the end of the current monthly period, with no pro-rata refund.

7.3 Termination by the Publisher

After formal notice that remains unheeded for 15 days, in the event of non-payment, fraudulent use, infringement of intellectual property or threat to security.

7.4 Consequences

The Customer may export their data (PDF, JSON) for 30 days after the end of the subscription. Thereafter, it may be deleted.

Article 8 β€” Publisher's obligations

Article 10 β€” Intellectual property

The Publisher remains the owner of all rights to the Service (code, design, trademark, content, algorithms, methodology). The subscription grants a personal, non-exclusive, non-transferable right of use, limited to the term of the contract. Customer Data remains the Customer's property.

Article 11 β€” Personal data and GDPR

The Publisher complies with the GDPR and the French Data Protection Act. Processing is detailed in the Privacy Policy, which forms an integral part of the Terms.

Article 12 β€” Liability

The Ecopilot assessment is a self-assessment and steering tool. It does not replace a certified regulatory audit and does not engage the Publisher's liability in the event of the Customer's non-compliance.

The Publisher is bound by an obligation of means. Its liability is capped, per contractual year, at the total amount paid by the Customer over the last 12 months. It is not liable for indirect consequences (loss of revenue, customers or reputation) or for decisions made by the Customer based on the assessment.

Article 13 β€” Force majeure

Neither Party is liable for a failure resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.

Article 14 β€” Complaints and mediation

Any complaint should be sent to contact@ecopilot-ai.com (subject "Complaint"), with a response within 30 days. In accordance with Articles L.611-1 et seq. of the French Consumer Code, a consumer Customer may use a consumer mediator free of charge for any dispute not resolved amicably. European online dispute resolution platform: https://ec.europa.eu/consumers/odr/.

Article 15 β€” Governing law and jurisdiction

The Terms are governed by French law. In the event of a dispute and after a failed amicable resolution, the French courts have sole jurisdiction. For consumers: the courts of the Customer's domicile or of the place of performance (Art. R.631-3 of the French Consumer Code).

Article 16 β€” Changes to the Terms

The Publisher may amend the Terms at any time. Customers are informed by email at least 30 days before the changes take effect. Failing objection, the new Terms are deemed accepted.
